These terms govern integration with Lukriton Intake through its API, widgets, hosted pages, signed references, webhooks, vendor tools, and technical documentation. They are between Survey Helper Corporation, a California corporation doing business as Lukriton, at 6520 Lonetree Blvd #1008, Rocklin, CA 95765 (Lukriton), and the person or entity accepting them (you).
1 Acceptance and authority
1.1 You agree to these terms by affirmatively accepting them through a clearly identified acceptance control or signing an agreement that incorporates this version. If acting for a business, you represent that you are authorized to bind it, and that business is the contracting customer. A key, API call, embed, webhook delivery, or continued use alone does not substitute for the acceptance process described here.
1.2 New integrations must complete acceptance before production credentials or equivalent production access are enabled. Existing integrations must complete the notified acceptance process by the stated transition date, subject to any controlling signed agreement. A notice must give at least thirty days unless an earlier change is required by law or to address a material security risk. Lukriton may restrict unaccepted access after the applicable notice period, while preserving any required export right. Acceptance records identify the authorized user, business or workspace, version, and timestamp.
1.3 These terms supplement the Terms of Use at https://lukriton.com/terms. The Privacy Policy at https://lukriton.com/privacy explains data practices and does not expand the processing rights granted here. A signed partner agreement controls conflicts for its parties. These API Terms control integration-specific conflicts with general Terms of Use. Any separate data-processing agreement controls data-processing conflicts, subject to the governing agreement's liability provisions and mandatory law. Business Day means Monday through Friday, excluding California state holidays.
2 Permitted integration
2.1 Subject to your plan and these terms, Lukriton grants limited, non-exclusive, non-transferable hosted access during your subscription or authorized evaluation. You may call documented APIs from authorized servers; embed the supplied widget on approved domains; link to authorized hosted, tracking, and vendor pages; process signed webhooks; and use documentation to build and maintain your integration.
2.2 A software company may enable its own customers and their users to use the integrated functionality within its identified application. This permission does not authorize standalone resale, unrestricted sublicensing, distribution of server code, or sharing private credentials with unrelated customers. Authorized integration contractors and infrastructure providers may act for you under appropriate access controls and confidentiality obligations.
2.3 Lukriton supplies hosted service access. You receive no ownership, source-code delivery, escrow right, private prompts, model weights, or private server implementation. Browser code delivered for embedding remains subject to its applicable license. White labeling is permitted where supported by your plan, without changing ownership or removing required user notices.
2.4 Lukriton remains an independent business and may offer its technology and improvements to others, including competitors and your customers, during and after your subscription. It may not misuse your confidential information or submitted personal data to solicit them. Integration and payments do not create equity, employment, agency, a joint venture, exclusivity, or authority to bind Lukriton.
3 Ownership and funded features
3.1 Lukriton retains its rights in the platform, its proprietary API implementation, widgets, hosted and tracking pages, vendor tools, voice and routing workflows, signed references and webhooks, dashboard, documentation, and platform improvements. This applies when a feature is requested, funded, specified, or tested by you. Third-party components remain owned by their licensors. Lukriton does not claim your independent application, integration code, branding, or submitted data merely because they connect to the platform.
3.2 Development and configuration payments purchase only agreed services and licensed access. They confer no equity, joint ownership, exclusivity, source-code entitlement, perpetual access, investment rights, or roadmap control. The parties do not intend work made for hire for you or joint authorship of Lukriton platform improvements. To the extent you acquire transferable rights in such improvements, you hereby assign them to Lukriton and will reasonably document that assignment. You must secure necessary rights from contributors you supply.
3.3 Custom development requires a separate signed statement of work. An ownership transfer or exclusive license requires a separate signed instrument specifically identifying the rights and expressly changing this section. Payments, purchase orders, feature requests, and ordinary email discussions do not transfer technology ownership. A statement of work cannot silently override these ownership terms.
3.4 You license feedback you are authorized to provide to Lukriton on a perpetual, worldwide, royalty-free basis, with the right to transfer and sublicense it. This does not license your source code or personal data or permit disclosure of your confidential information. Each party retains its marks. Use of Lukriton's logo or claims of endorsement require written consent; truthful identification of the integration is permitted.
4 Statements about the technology
4.1 You must not claim or imply that you own, developed, authored, invented, or exclusively control Lukriton's technology, or that Lukriton is part of your business. You may accurately describe your own application and integration work. This applies to investor materials, diligence, sales, websites, public statements, and statements by people acting on your behalf.
4.2 When describing the integrated technology to investors, lenders, or acquirers, identify the externally licensed platform. Approved wording is: "Our product integrates Lukriton Intake, a separately owned platform providing multilingual voice and text intake, routing, and vendor response features under a non-exclusive hosted-service license." Do not imply that a financing or acquisition conveys ownership of Lukriton's platform or that evaluation access is perpetual.
4.3 Customer-facing experiences may use your branding and describe available integrated features, provided they do not falsely claim that you built or own Lukriton's technology. You may not imply that Lukriton invests in, verifies, insures, endorses, or guarantees your business, vendors, or services.
4.4 On acceptance, review existing ownership and affiliation statements about the integration. Within five Business Days, correct materially misleading statements you discover or that Lukriton reasonably identifies, including notifying recipients of affected investor materials. Stop using the statement promptly and provide written confirmation of correction on request. This creates a present correction duty, not an admission that earlier statements were unlawful. No existing claim is released.
5 Restrictions and confidentiality
5.1 You must not copy protected platform code, misuse non-public designs or confidential materials to create or commission a substitute, obtain private implementation details through unauthorized access or reverse engineering, or supply protected materials to someone doing so. You must not bypass access controls, abuse rate limits, scrape private data, introduce malicious content, remove proprietary notices, or use confusingly similar marks. These restrictions are subject to nonwaivable legal rights. They do not prohibit independently developed products, lawful use of public information, or ordinary integration and purchasing evaluations.
5.2 Each party will protect the other's non-public technical and business information reasonably and use it only for this relationship. Disclosure is limited to personnel, contractors, advisers, and authorized diligence recipients with a need to know and suitable confidentiality duties. Information demonstrably public without breach, already lawfully known, independently developed, or lawfully received without restriction is excluded. Public documentation is not confidential solely because it is documentation.
5.3 The existence of the integration and the approved non-exclusive ownership description may be disclosed without an NDA. Confidential pricing, contract terms, or technical materials require confidentiality protection or permission. Legally compelled disclosures are allowed with notice where lawful. Confidentiality continues for three years after access ends, and for trade secrets as long as they remain trade secrets. Personal data protection continues for as long as the data is retained.
6 Credentials and integration security
6.1 Private API keys and signing secrets must remain server-side, with access limited to authorized operators. Never place them in public repositories, browser code, or mobile client bundles. Report suspected exposure promptly to support@lukriton.com, rotate affected credentials, and cooperate in containment. Responsibility follows the party's acts, omissions, and systems; this clause does not excuse Lukriton's own security failure.
6.2 Verify webhook signatures and timestamps, reject replayed events, use documented deduplication identifiers, and use HTTPS. Signed references intended for identifiers must not contain names, contact details, or other personal data. Lukriton may apply reasonable rate limits and security controls or revoke compromised credentials.
6.3 Test credentials and sandbox behavior are described in the applicable Documentation. Use synthetic data unless real data is necessary, authorized, and properly protected. Test deliveries to your configured endpoint may still occur. Sandbox functionality is not a promise that every external side effect is impossible; follow the documented mode restrictions and validate them before testing with real recipients. Sandbox records may be periodically cleared as disclosed, subject to applicable data obligations.
7 Customers and lawful use
7.1 You are responsible for your application and integrations, authorized instructions, customer relationships, and vendor services or charges you control. Obtain appropriate agreements from business customers and present suitable notices to requesters and vendors. Users must receive understandable disclosures about recordings, AI processing, routing, and recipient sharing, and any legally required consent must be obtained and recorded.
7.2 Do not promise anonymity, human-only processing, or confidentiality inconsistent with the actual service. Do not submit data you lack authority to provide. Each party remains responsible for its own privacy and other legal duties; allocation to you does not waive Lukriton's duties.
7.3 You and your customers are responsible for reviewing AI outputs and for decisions about urgency, vendor qualifications, work, licensing, insurance, payments, and follow-up. Lukriton does not guarantee acceptance, response time, work quality, legal compliance, or business results. It is not an emergency service. Provide appropriate emergency instructions and maintain your own procedures. Data or uses requiring specialized safeguards, including protected health information, require prior written approval and any necessary supplemental agreement.
8 Processing of submitted data
8.1 You and other lawful rights holders retain rights in submitted data and customer-specific outputs, subject to applicable law and third-party rights. You authorize processing only to receive and store requests and attachments; transcribe and translate speech and text; generate request summaries and routing classifications; deliver requests, notifications, replies, and status tracking; provide exports and instructed integrations; and secure, maintain, troubleshoot, and support those services.
8.2 Lukriton processes submitted personal data on your lawful documented instructions. Where you act for a customer, you confirm authority to appoint Lukriton as a downstream processor. Relevant individuals include requesters, tenants, staff, vendors, and contacts. Data may include contact details, locations, audio, attachments, request contents, messages, and status records. Processing lasts during authorized service and the limited retention periods below. Your assertion of data ownership does not remove an individual's rights.
8.3 Lukriton will not train or fine-tune machine-learning models on your submitted data, including general models for other customers. AI suppliers must be used under contractual terms and account settings consistent with this restriction. Lawfully and irreversibly deidentified operational statistics may be used for service improvement without reidentification or disclosure of your confidential business information. General marketing use of submitted personal data is not authorized.
8.4 Where California service-provider or contractor requirements apply, Lukriton will not sell or share submitted personal data, process it outside the specified purposes or direct relationship, or combine it with other personal information except as legally permitted. Lukriton will provide the privacy protection required by applicable CCPA duties, assist with rights requests and required assessments, and notify you if it can no longer comply. You may reasonably verify compliance and require correction or cessation of unauthorized processing. Applicable restrictions must flow down to subprocessors. Mandatory individual and regulatory rights remain intact.
8.5 Lukriton will maintain reasonable safeguards, restrict authorized access, and bind relevant personnel to confidentiality. It may use hosting, storage, AI, notification, and support subprocessors under appropriate written restrictions and remains responsible for their processing as required by these terms and law. A current provider register stating names, purposes, and locations will be supplied before production access and on request. Material new providers require fifteen days' notice except urgent security or continuity substitutions, which require prompt notice. Reasonable privacy objections will be addressed in good faith; if unresolved within thirty days, either party may end the affected service with a refund of its unused prepaid service fees. Destinations you select, such as your spreadsheet account, receive data on your instructions and also have their own terms.
8.6 Lukriton will notify the workspace administrator without undue delay and within seventy-two hours after awareness of a security incident involving unauthorized access, disclosure, alteration, loss, or destruction of submitted personal data under its or its subprocessors' control, or sooner if law requires. Initial notice may be supplemented. Unsuccessful attempts without data compromise are excluded. Lukriton will reasonably assist investigation and necessary notices; incident notice is not an admission of liability.
8.7 Provide verified rights requests and the information needed to act on them. Lukriton will reasonably assist, relay relevant requests received directly unless law requires otherwise, and flag apparently unlawful instructions. It may suspend affected processing while such instructions are resolved. Additional assistance charges require prior agreement and cannot defeat mandatory compliance.
8.8 You may obtain reasonable compliance documentation. If insufficient, a confidential independent review of relevant controls may be arranged without exposing unrelated customer data or protected source code. Ordinary reviews are limited to once annually, with additional reviews for incidents, reasonable evidence of noncompliance, or legal requirements. Mandatory regulatory, audit, assessment, and remediation rights are preserved.
8.9 Available exports may be used while active. For thirty days after closure, you may request a standard machine-readable export of remaining data and available attachments through support@lukriton.com. Lukriton will verify authority and provide a secure export or restricted read-only access, even if production credentials are disabled. Timely export requests will be completed within a reasonable period before the requested data is deleted. Standard export is included; custom transformation requires agreement. Restrictions must be legally required or necessary to protect others' rights or security, with a feasible alternative where available.
8.10 Active-system data will be deleted within sixty days after closure or an earlier valid instruction, except to finish a timely export or comply with legal retention. Legal records will be minimized and restricted. Protected backups expire under the documented retention schedule supplied before production, are not used for ordinary processing, and remain subject to deletion if restored. Written deletion confirmation is available on reasonable request. Additional safeguards must be agreed before processing subject to unmet specialized or international-transfer requirements.
9 Fees and limits
9.1 Subscription prices, capacities, and any usage charges must be disclosed at checkout or in an accepted order. Widgets, hosted pages, requests, and providers are measured across the workspace according to the disclosed billing method. A widget and a hosted page are counted separately. A customer using both consumes two; the number of customers supported also depends on other limits. Signed webhooks require a plan that includes them.
9.2 Free or discounted access has the scope, limits, and end date shown in its accepted offer. It does not include custom development or unlimited support. Excess usage may be paused rather than charged unless a disclosed overage arrangement was accepted. Enterprise capacity and project work require written agreement. Fees exclude applicable transaction taxes other than taxes on Lukriton's income.
9.3 Lukriton charges no commission on your or your customers' vendor, job, lead, membership, or routed-work revenue under this version. Introducing a commission requires a signed agreement or a separately presented, affirmative acceptance of the commission terms. Ordinary continued use or a silent website edit does not authorize one. A controlling signed partner agreement may require both parties' signatures.
9.4 Subscription price or capacity changes require at least thirty days' direct notice and apply only to future billing periods. You may cancel before the change takes effect. Changes do not alter a period already paid. There are no retroactive fees under these terms. Refunds follow the accepted order and section 11, subject to mandatory law. Development charges remain separately agreed.
10 Availability and changes
10.1 The service has no guaranteed uptime or response time unless separately agreed. Standard support is through support@lukriton.com on California Business Days, Pacific time. Lukriton may maintain and improve the service and will use reasonable efforts to notify customers of planned material disruption.
10.2 Documented, materially incompatible endpoint, webhook, or widget changes require ninety days' direct notice, except earlier security or legal changes with as much notice as practical. An optional field or new event is not automatically non-breaking if it prevents the documented integration from working. An informal roadmap is not a development commitment.
11 Suspension and termination
11.1 You may end access by cancelling the subscription and disconnecting integrations. Deleting a key alone does not necessarily cancel billing; cancellation must be available through the disclosed billing method or support. Lukriton may end service for convenience on thirty days' direct notice, or for material breach not cured within fifteen days after notice. Material IP misuse, false ownership claims, or unlawful use may justify a shorter five-Business-Day cure period or immediate action for an incurable breach, to the extent lawful.
11.2 Lukriton may immediately suspend the access reasonably needed to contain material security risks, unlawful conduct, or harm, with prompt notice and restoration when resolved. An undisputed payment remaining unpaid ten days after overdue notice may also support suspension. Good-faith disputes do not excuse payment of undisputed amounts. Suspension must respect any controlling signed agreement.
11.3 On termination, your ordinary license ends, you must remove active embeds and stop distributing service links, and production credentials may be disabled. Data export and deletion follow section 8. If Lukriton ends paid service for convenience, or you end it for Lukriton's uncured material breach, unused prepaid service fees will be refunded. Other refunds follow applicable law and your accepted order. Sections 2.3, 2.4, 3 through 6 as their purpose requires, 8 for retained data, 9 for accrued charges, and 11 through 16 survive without extending production access.
12 Disclaimers
12.1 Except for express obligations and nonwaivable rights, the service is provided as is and as available. Lukriton disclaims implied warranties of merchantability, fitness, non-infringement, uninterrupted operation, and AI accuracy. These disclaimers do not cancel express security, data, or service obligations. No IP defense or indemnity is supplied under these public terms unless a separate signed agreement expressly grants it.
13 Liability
13.1 To the extent lawful, Lukriton is not liable for indirect, special, incidental, consequential, exemplary, or punitive damages or lost profits, revenue, data, or goodwill. Its total aggregate liability under these terms and related integration orders is limited to the greater of US $100 or fees you actually paid to Lukriton for the affected integration services in the twelve months before the first event giving rise to liability. This is one aggregate cap and includes confidentiality, security, data-processing, and any expressly assumed indemnity obligations, with defense costs counting toward the cap.
13.2 No exclusion or cap applies to fraud, willful misconduct, gross negligence, or liability to the extent it cannot lawfully be limited. These terms do not bind regulators or extinguish third parties' statutory rights. A signed partner agreement controls any different negotiated cap. No statement of work expands liability without an express signed amendment identifying the cap being changed.
14 Third party claims
14.1 You will defend and indemnify Lukriton and its personnel against third-party claims and resulting reasonable defense costs and damages finally awarded or approved in settlement to the extent caused by your application, unlawful data or instructions, missing legally required consents, materially misleading ownership statements, misuse of protected technology, or vendor services and charges you control. This excludes the portion caused by Lukriton's breach, negligence, or wrongful conduct. Customer status alone does not trigger indemnity.
14.2 Lukriton must promptly notify you, allow reasonable control of the defense by competent counsel, and cooperate at your expense. Delay affects your obligation only to the extent materially prejudicial. A settlement cannot admit Lukriton's fault, impose nonmonetary obligations, or fail to release it without its written consent. You may not use defense control to require disclosure of unrelated confidential information.
15 Law and business relationship
15.1 California law governs, excluding conflict-of-law rules. The parties will attempt resolution for thirty days after written dispute notice, except for urgent protective relief, filing deadlines, or mandatory law. Exclusive courts are the Superior Court of California, County of Placer, and, where federal jurisdiction exists, the United States District Court for the Eastern District of California, Sacramento Division. Urgent protective relief may be requested in another competent court where necessary; no remedy is guaranteed by contract.
15.2 The parties are independent. Neither may bind the other. A person accepting for a company does not personally guarantee its debts, without limiting responsibility imposed by law for that person's own conduct. You may not assign the integration license or transfer control of the integration to a successor without consent not unreasonably withheld for a successor assuming the obligations and presenting no material security, payment, or IP risk. An ordinary minority investment without change of control is not an assignment. Lukriton may assign to a business or platform successor assuming its duties.
16 Updates and contact
16.1 Material changes require at least thirty days' direct notice to workspace administrators, a clear description, and affirmative acceptance of the new version before it governs renewed or continued access. If you decline, you may end affected service, and Lukriton may end it after the notice period while preserving agreed export rights. Earlier legally necessary or security measures may be implemented as required, with prompt notice. Changes are prospective. A signed agreement is amended only in the manner it permits.
16.2 These terms, an accepted order, and applicable general terms form the agreement on integration use, subject to a controlling signed agreement. Prior signed agreements and accrued claims are not silently cancelled. Invalid provisions are severed or limited only as permitted by law. Operational communications do not transfer IP or confer exclusivity. Notices go to your current administrator email; contact Lukriton at support@lukriton.com or https://lukriton.com/contact. Keep your notice address current.
